3. Payment and Billing:

Clients will be billed according to the agreed-upon terms in the service agreement. Payment terms, including invoices, due dates, and accepted payment methods, will be specified in the agreement. Failure to make timely payments may result in the suspension or termination of services.

4. Confidentiality:

KCS Solutions will maintain the confidentiality of all client information and business data disclosed during the course of providing services. Likewise, clients are expected to maintain the confidentiality of any proprietary or sensitive information shared by KCS Solutions.

5. Intellectual Property:

All intellectual property rights related to the Services, including but not limited to trademarks, copyrights, and trade secrets, are owned by KCS Solutions. Clients may not use KCS Solutions' intellectual property without prior written consent.

6. Termination:

Either party may terminate the service agreement with prior notice if the other party breaches any material term of the agreement. Upon termination, clients are responsible for payment of any outstanding fees and for returning any KCS Solutions property.

7. Limitation of Liability:

To the extent permitted by law, KCS Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from the use or inability to use the Services.

8. Changes to Terms:

KCS Solutions reserves the right to modify these Terms at any time. Updated Terms will be posted on our website. Continued use of the Services after such changes constitutes acceptance of the new Terms.

9. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which KCS Solutions is located, without regard to its conflict of law principles.
